1. Agreement to These Terms

These Terms of Service govern your use of this website and any music, master audio files, license certificates, bundles, or digital products purchased from Jessica Corren Music, operated by Jessica Northey Studios, LLC ("we", "us", "our"). By browsing this site or completing a purchase, you agree to these terms.

2. What You Are Purchasing

Unless expressly stated otherwise on the product page or in your license certificate, a purchase grants you a license to use the recording — it does not transfer ownership of the underlying copyrights.

We own or control all rights in the sound recordings, compositions, artwork, and written content offered here. No rights are granted except those specifically described at checkout and in your issued license certificate.

3. Personal Listening Downloads

• Personal downloads (for example, single-track MP3s or the EP MP3 bundle) are licensed for your own private, non-commercial listening.
• You may store them on your own devices and play them privately.
• You may not resell, redistribute, re-upload, sublicense, or make personal downloads available for streaming or download by anyone else.
• Personal downloads do not include public performance, broadcast, or commercial synchronization rights.

4. Commercial Venue Licenses

A Commercial Venue License grants a non-exclusive, perpetual license to publicly play the specific track or collection named on your Stripe receipt and license certificate inside a single physical location that you own or operate, such as a studio, clinic, spa, or retreat setting.

Each license is limited to that one location and that one named track or collection. Additional locations or additional tracks require a separate license. Your Stripe receipt and certificate together form your proof of clearance.

5. Retreat Bundles and Multi-Asset Products

Bundles may include multiple masters, instrumental versions, continuous mixes, and a venue license. Each included asset is licensed under the same non-exclusive, non-transferable terms as the corresponding individual product, for the number of locations specified at checkout.

Deliverables are released on the schedule stated on the product page; pre-ordered assets are delivered to the email address used at purchase as soon as they are available.

6. Permitted Uses

• Play the licensed music in the licensed physical space for your customers, members, or guests.
• Keep the audio files and license certificate as records of your clearance.
• Use licensed music in in-person classes, sessions, or retreats you personally lead within the licensed location.

7. Restrictions

• No resale, sublicensing, gifting, file-sharing, or distribution of the audio files to third parties.
• No claiming authorship or ownership of the music, and no registering it with any rights organization or content-ID system.
• No use in advertising, film, television, streaming video, podcasts, or online content without a separate written sync license.
• No use of the music to train machine-learning or generative audio models.
• No use that is unlawful, defamatory, hateful, or that associates the music with products or causes we reasonably object to.
• No circumvention of delivery links or attempts to obtain files you have not licensed.

8. Sync, Custom Stems, and Bespoke Work

Synchronization, custom stems, tailored tempo or loop edits, and exclusive clearance are not included with any download or venue license. These require a separate written agreement with custom terms, fees, and delivery timelines, arranged by contacting us directly.

9. Delivery

Digital products and license certificates are delivered by email and through the download page provided after checkout. If your delivery email does not arrive, check your spam folder and then contact us so we can resend it. Please save your files and certificate — access links may not remain available indefinitely.

10. Payments, Refunds, and Chargebacks

All payments are processed securely by Stripe and are charged in US dollars at the price shown at checkout. Because all products are digital and delivered immediately (or on a stated release date), all sales are final and non-refundable once files or certificates have been delivered.

If something is missing, defective, or you were charged in error, contact us and we will make it right. Filing a chargeback for a delivered digital product may result in suspension of the associated license.

Pre-orders for unreleased bundles may be cancelled for a full refund any time before the release date by emailing us.

11. Taxes

Prices may exclude applicable sales, use, or VAT taxes, which may be added at checkout based on your location and collected where required by law.

12. License Term and Termination

Venue licenses are perpetual for the licensed location, provided you comply with these terms. We may revoke a license if you materially breach these terms, misuse the files, or reverse a payment. On termination you must stop all public performance and delete the licensed files, except where a refundable resolution is agreed in writing.

13. Disclaimer and Limitation of Liability

The music and website are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the site or delivery links will be uninterrupted or error-free.

To the maximum extent permitted by law, our total liability arising out of any purchase or use of this site is limited to the amount you paid for the product giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages.

Nothing in these terms limits rights you may have under mandatory consumer protection laws in your jurisdiction.

14. Indemnification

You agree to indemnify and hold harmless Jessica Northey Studios, LLC from claims, damages, and costs arising from your use of the music outside the scope of your license or your breach of these terms.

15. Governing Law

These terms are governed by the laws of the United States and the state in which Jessica Northey Studios, LLC is organized, without regard to conflict-of-law principles. Any dispute will be handled in the state or federal courts located there.

16. Changes to These Terms

We may update these terms from time to time. The version in effect at the time of your purchase governs that purchase, and the "last updated" date above reflects the current version.
